Affiliate Program Agreement

Please note: commissions accrue as your referrals pay and are shown on your dashboard. To receive a payout you must accept this Agreement and have a valid W-9 on file; commissions are paid after a short hold once your balance clears the $50 minimum, sent to the PayPal for the email on your account.

Business Guy LLC, a Wyoming limited liability company doing business as Service Blue, 1309 Coffeen Avenue STE 1200, Sheridan, WY 82801 (the "Company," "Service Blue," "we," "us"). By accepting below, you (the "Affiliate") agree to these terms.

1. Independent contractor

You are an independent contractor, not an employee, agent, partner, or joint venturer of the Company. You have no authority to bind or represent the Company. You are solely responsible for your own taxes, expenses, and any people you involve.

2. Your code & how referrals are tracked

On joining you receive a unique referral code and link (serviceblue.app/?ref=YOUR-CODE). When someone you refer signs up, the referral is tied to their email on a first-touch basis — whoever refers a given customer first owns that referral, and it is never reassigned. The Company may reject or remove an Affiliate at its discretion.

3. Commission

You earn 20% of the amounts a referred customer actually pays on their Service Blue subscription (net of refunds and credits), calculated per paid invoice and deduped per invoice. Commission is recurring for up to twelve (12) months from that referred customer's first paid invoice, and only while their subscription stays continuously active — it stops if they cancel, does not restart on reactivation, and in any event ends at the twelve-month mark. This recurring term is expressly subject to Sections 12 (Modification) and 13 (Termination) and is not an unconditional or perpetual obligation.

Not commissionable: taxes, processor fees, credits, discounts, chargebacks, your own account, and self-referrals.

4. Clawback (refunds & chargebacks)

Commissions accrue as pending and become payable only after a hold period that lets refunds and chargebacks clear. If a referred payment is refunded, charged back, or reversed, the matching commission is reversed in proportion to the refunded amount. If a reversal happens after you've been paid, the amount is deducted from your next payout, and a negative balance carries forward against future commissions. You have 14 days to contest a clawback with an order or payment reference before it is finalized.

5. Payment, hold & minimum

Payouts are made on a periodic basis after a validation/hold period (currently 60 days per invoice for new affiliates) and only once your payable balance reaches a $50 minimum; smaller balances carry forward. Payouts are processed on a rail that is separate from the Company's subscription payment processor. No money moves while the program's payouts remain disabled. The Company may change the payout processor or schedule on notice.

6. Taxes (W-9 / 1099)

You are solely responsible for taxes on your commissions. Before any payout, U.S. affiliates submit a valid Form W-9; non-U.S. affiliates submit a Form W-8BEN/W-8BEN-E. The Company will issue a Form 1099-NEC where required by law and may apply 24% backup withholding, or hold payouts, until a valid tax form is on file.

7. FTC disclosure (required)

You must clearly and conspicuously disclose your paid/commission relationship with Service Blue on every endorsement, review, post, email, and link, consistent with the FTC Endorsement Guides (16 CFR Part 255, as amended effective July 26, 2023). "Clear and conspicuous" means difficult to miss and easily understandable (16 CFR 255.0(f)), placed immediately next to the link or recommendation — not in a footer, bio, or separate page. Adequate wording: "paid link," "I earn a commission," "ad," "sponsored." NOT adequate on its own: "affiliate link," "commissionable link," a bare purchase button, or relying solely on a platform's built-in disclosure tool. You indemnify the Company for your disclosure failures.

8. No spam (CAN-SPAM / TCPA)

Unsolicited bulk email and bulk text/SMS campaigns are prohibited outright. Any email or SMS campaign promoting Service Blue — even to your own opted-in list — requires the Company's prior written approval, because the law holds the Company responsible for messages promoting its product regardless of who sends them. Approved messages must comply with CAN-SPAM and TCPA: accurate headers and subject lines, ad identification, a valid physical address, and prompt honoring of opt-outs. Ordinary one-to-one personal recommendations do not need approval. You are solely liable for your own messages and indemnify the Company for them. Spam is grounds for immediate termination and forfeiture of affected commissions.

9. Prohibited conduct & fraud

The following void affected commissions and may end your participation: self-referral or self-purchase, cookie stuffing, forced or fake clicks, bidding on the Company's brand or trademark terms in paid search, cloaking, typosquatting, false or deceptive claims, coupon/discount-site abuse, and any artificial inflation of referrals. The Company may withhold or forfeit commissions during an investigation.

10. Monitoring, audit & takedown

The Company may monitor, review, and audit any content, page, or campaign that promotes Service Blue or uses your referral link, and may require pre-approval of specific campaigns. On request, you will disclose the channels and URLs you use to promote the service. You will remove or correct any promotional content the Company flags within 48 hours of notice; failure to do so is grounds for suspension of commissions or termination. Email and SMS campaigns additionally require prior written approval under Section 8. Cooperation with monitoring is a condition of participation — the FTC holds the Company responsible for affiliate promotion it has authority to control.

11. Brand use

You receive a limited, revocable, non-exclusive license to use approved Service Blue marks and creative solely to promote the service. Do not modify the marks, imply a partnership beyond affiliate status, or register Company marks, domains, or handles. The license ends with this Agreement.

12. Changes to this Agreement

The Company may amend this Agreement, the commission rate, or the program on advance notice (e.g., by email). Changes apply prospectively only — they will not retroactively reduce commissions you have already earned. Continued participation after notice is acceptance.

13. Termination

Either party may end this Agreement on notice. The Company may terminate immediately for breach, fraud, spam, or brand misuse. On termination, commissions tied to misconduct are forfeited; otherwise earned and approved commissions are paid through the end of any applicable hold, and the recurring stream stops.

14. Confidentiality & data

Keep non-public Company information confidential, comply with applicable privacy laws, and do not harvest or misuse referred-customer data. These obligations survive termination.

15. Liability & warranties

The program, links, and tracking are provided "as is," with no guarantee of uninterrupted operation. To the extent permitted by law, the Company's liability is limited to commissions paid to you in the prior six months, and it is not liable for indirect or consequential damages. You warrant you will comply with all applicable laws and make no unauthorized claims about Service Blue.

16. Indemnification

You indemnify and hold harmless Business Guy LLC (d/b/a Service Blue) against claims, penalties, and costs arising from your marketing, disclosure failures, spam, brand misuse, or legal violations.

17. Governing law & disputes

This Agreement is governed by the laws of the State of Wyoming, and venue and jurisdiction lie in Wyoming. Disputes are resolved by binding arbitration on an individual basis, with a class-action waiver, to the extent enforceable. The prevailing party may recover reasonable attorneys' fees. If any provision is unenforceable, the rest remains in effect.
